By subscribing to our Pinterest Strategy and Management services, you (the “Client”) agree to the following terms and conditions. These terms govern the recurring billing and service relationship between you and Fuzzy Tuxedo Media, LLC (“Pinterest Manager”).
1. Scope of Services
Fuzzy Tuxedo Media, LLC provides Pinterest Organic and/or Ads management as outlined in your selected subscription tier. Services include strategy calls, planning, SEO optimization, and reporting.
- Deliverables: Clients must provide onboarding materials within 7 days of signup.
- No Rollovers: Unused service hours or monthly calls do not roll over to subsequent months.
2. Subscription Fees & Billing
- Recurring Payment: By purchasing a subscription, you authorize Fuzzy Tuxedo Media, LLC to charge your provided payment method monthly via Stripe.
- Retainer: The first month’s fee is a non-refundable, non-transferable retainer.
- Late Fees: Payments not received within 5 business days of the invoice date will incur a $50.00 late fee plus 1% daily interest on the unpaid balance.
- Pricing: We reserve the right to adjust pricing; however, any changes to your active subscription will be communicated and agreed upon in writing before taking effect.
3. Cancellations & Termination
- Notice Period: Either party may terminate the agreement with 30 days’ written notice prior to the next billing cycle.
- Final Payment: Upon notice of termination, the Client is responsible for payment for all work completed up to the date of termination.
- No Downgrades: Subscriptions cannot be downgraded during the active term, though upgrades are permitted with written consent.
4. Refund Policy
- General Policy: Due to the bespoke, creative nature of digital marketing services, all fees paid are non-refundable.
- Artistic Discretion: Pinterest management is subjective. Dissatisfaction with aesthetic judgment or artistic style is not a valid reason for a refund or termination of the agreement.
- No Guarantees: While we strive for excellence, we make no guarantees regarding specific financial results or business outcomes.
5. Intellectual Property
- Work for Hire: All graphics and pins created for the Client are considered “works made for hire.” Upon full payment, the Client owns the copyright to these specific deliverables.
- Proprietary Systems: Fuzzy Tuxedo Media, LLC retains ownership of its internal workflow systems, tracking templates, and proprietary analysis methods.
6. Privacy & Confidentiality
We value your data. All business information, trade secrets, and customer lists shared with us remain strictly confidential. Please refer to our Privacy Policy for details on how Stripe handles your payment data.
7. Limitation of Liability & Indemnification
Fuzzy Tuxedo Media, LLC is an independent contractor. We are not liable for business losses, algorithm changes by Pinterest, or third-party platform failures. Both parties agree to indemnify and hold each other harmless from third-party claims arising from the services provided, except in cases of gross negligence.
8. Governing Law
These terms are governed by the laws of the State of Wyoming. Any disputes shall be resolved through binding arbitration in Sheridan County, Wyoming.
